I have a similar thread here....some good hits, but I purchased a pair of Ostrich panniers for my bike, and a Banjo Brothers pannier set for my wife's bike.......as far as waterproof, these bags are water resistant, and if absolute water proofing is what you need, then there are a number of rather unattractive and brightly colored plastic like rubber panniers available.

Are you wanting ones that *look* like a briefcase, or just ones that have a top handle? Ortliebs are completely waterproof and have a top carry handle, as well as removable shoulder straps. I use them for my laptop (in a separate sleeve), papers, rain clothes, etc.
